THE Directorate of Investment and Company Administration (DICA) has notified companies that their registered office address must not differ from the actual business address where the company’s op­erations are conducted. DICA will take action against those compa­nies that do not have a physical office as per the registered address. According to Section 141 (A) of the Myanmar Companies Law, a com­pany needs to use an appropriate address as the registered office starting from the date of incorpo­ration, where business operations and the company’s management will be undertaken. It is obliged to report any change in the registered office address to the Registrar ac­cordingly before the change.

 

According to Section 97 of the Myanmar Companies Law, all reg­istered companies need to submit AR on the MyCO registry system within two months of incorporation.

 

The DICA notified them of further necessary documents to be submitted along with the AR. The relevant township police veri­fication certificate or ward admin­istrator verification certificate for the present address of the company, which needs to be the exact ad­dress, the registered address and Immigration Form C if the com­pany’s director is a foreigner, are required.

 

Directors and shareholders of the companies need to strictly ad­here to Section 141 of the Myanmar Companies Law. Failure to do so will result in a fine and legal action under the existing laws, DICA no­tified. — NN/KK
